The Country
Seychelles, an island nation,  located in the Indian Ocean northeast of Madagascar and about 1,600 km (1,000 miles) east of Kenya. The number of islands in the archipelago is often given as 115 but the Constitution of the Republic of Seychelles lists 155. 

Since independence in 1976, per capita output has expanded to roughly seven times the old near-subsistence level. Growth has been led by the tourist sector, which employs about 30% of the labour force and provides more than 70% of hard currency earnings, and by tuna fishing. In recent years the government has encouraged foreign investment in order to upgrade hotels and other services. These incentives have given rise to an enormous amount of investment in real estate projects and new (mostly 5 star) resort properties. Hilton, Four Seasons and Banyan Tree are all new entrants to Seychelles. Development projects projected in the hundreds of millions of dollars each are in the beginning stages for Emirates Airlines, Qatar Airlines, Raffles, Shangri-La, etc. Other private developments such as Ile Aurore, Per Aquam and Eden Island are projected at over $2 billion.

Company Secretary
Seychelles do not require the company to have an official secretary. When the company signs a contract or underwrites an obligation, more than one signature will usually be required. The company secretary has the authority to sign papers on behalf of the company, when this is done with the director of the company. This secretary will often be included in the package handled by the agent and is referred to as a ”Nominee Secretary”.

Nominee Director
The director (or directors) is the company’s management or Board of Directors. These people are responsible for the daily management of the company. Several jurisdictions require that the director is registered by name and address, but it is not always a requirement that the director is a resident in the country.

If you are not interested in making the connection between you and your company common knowledge, we can offer you the service of a nominee director, who will be registered as the formal director of the company. This function is also referred to as managing director eller CEO (Chief Executive Officer). In order to avoid that this nominee director abuses his position, he hands in a Power of Attorney whereby he hands over all de facto powers to you. This way you will be the only person capable of underwriting the company. At the same time an undated resignation from the director, that can be used if you wish to dismiss the nominee director. This way the nominee director will not be able to abuse his position in any way.

Normally it is not possible to make use of the nominee director’s competencies, since he is in fact just a head figure. On special requests he may be able to help with certain tasks such as concipating contracts, client meetings, letter writing etc.

Nominee shareholder
A Nominee Shareholder is a person identified by name who is registered as a shareholder. This nominee shareholder will not be able to obtain any shareholder advantages, and he does not carry any voting rights in the company. A nominee shareholder can be used when you are not interested in having your name associated directly with the company, I.e ethical, political, emotional or family related reasons. Another option is to set up a Trust-fund that will be the future holder of the ownership/shares.
